Terms of Service

These Terms of Service ("Terms") govern your use of:

• The AI-Guide desktop application (the "App")
• The AI-Guide website at https://ai-guide-app.com (the "Site")
• Any related services, features, or content (together, the "Services")

By creating an account or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Who we are

The Services are provided by AI-Guide ("we", "us", or "our"), based in Modiin, Israel.

2. Eligibility

You may use the Services only if:

• You are at least 16 years old (or the age of digital consent in your country), and
• You have the legal capacity to enter into a binding agreement.

If you use the Services on behalf of a company or organization, you represent that you are authorized to do so and that the entity accepts these Terms.

3. Your account

You are responsible for:

• Providing accurate and up-to-date registration information;
• Maintaining the confidentiality of your login credentials;
• All activities that occur under your account.

Notify us immediately at support@ai-guide-app.com if you suspect unauthorized access or use.

We reserve the right to suspend or terminate accounts that violate these Terms or our policies.

4. Subscriptions, billing and refunds

4.1 Plans

We offer a Free plan and one or more paid Pro or Teams plans. Plan details, limits, and pricing are described on our Site or in the App and may change from time to time.

4.2 Billing

Paid subscriptions are billed through third-party payment and subscription platforms (such as RevenueCat and the relevant app stores). By subscribing to a paid plan, you agree to:

• Provide accurate billing information,
• Authorize the recurring charges for your plan, and
• Comply with the terms of the app store or payment provider.

4.3 Renewals and cancellation

Subscriptions renew automatically at the end of each billing period unless you cancel through the app store or subscription management interface.

You may cancel your subscription at any time; you will retain access until the end of the current billing period. We generally do not provide refunds for partial billing periods except where required by law or by the terms of the app store.

5. Acceptable use

You agree not to:

• Use the Services in any way that violates applicable law or regulation;
• Attempt to reverse engineer, decompile, or otherwise access the underlying source code (except as permitted by law);
• Use the Services to create, train, or improve competing AI models or services without our explicit written consent;
• Interfere with or disrupt the Services or attempt unauthorized access to any systems or networks;
• Upload or send content that is illegal, harmful, abusive, harassing, defamatory, or otherwise objectionable;
• Use the Services to process highly sensitive data (e.g. credit card numbers, government IDs, health records) unless you understand and accept the associated risks.

We may investigate and act upon violations, including suspension or termination of your account.

6. AI-generated content

The Services use third-party AI models (such as Azure OpenAI) to generate responses based on your input and screen data.

You understand and agree that:

• AI-generated outputs may be inaccurate, incomplete, or misleading;
• AI-Guide does not guarantee the correctness or suitability of any output;
• You are responsible for reviewing and verifying any advice, instructions, or content before relying on it.

AI-generated content is provided "as is" and should not be considered professional, legal, financial, medical, or security advice.

7. Intellectual property

7.1 Our rights

The Services, including the App, Site, visual design, logos, and underlying software, are owned by or licensed to AI-Guide and are protected by copyright, trademark, and other laws.

Except as expressly permitted, you may not copy, modify, distribute, sell, or lease any part of the Services.

7.2 Your content

You retain ownership of your content and inputs. By using the Services, you grant us a limited, worldwide, non-exclusive, royalty-free license to process your content only as necessary to:

• Provide and improve the Services;
• Comply with law and enforce our policies;
• Protect the safety, rights, and property of AI-Guide and users.

We do not use your screen images to train our own models. Third-party AI providers may use data as described in their own terms, and we aim to configure them in privacy-preserving modes where available.

8. Privacy

Your use of the Services is also governed by our Privacy Policy, which describes how we collect and use your information.

9. Service availability and changes

We strive to keep the Services available and reliable, but:

• The Services may be temporarily unavailable due to maintenance, outages, or factors outside our control;
• We may modify or discontinue features, plans, or pricing;
• We are not liable for any loss or damage resulting from such changes, except as required by law.

If we make changes that significantly affect your paid subscription, we will notify you in advance where reasonably possible.

10. Disclaimers

To the maximum extent permitted by law, the Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to:

• Merchantability,
• Fitness for a particular purpose,
• Non-infringement,
• Accuracy or reliability of AI-generated content.

You are solely responsible for how you use the information and guidance provided by AI-Guide.

11. Limitation of liability

To the maximum extent permitted by law:

• AI-Guide and its officers, employees, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages; and
• Our total liability for any claims arising out of or relating to the Services will not exceed the amount you paid to us for the Services in the 3 months immediately preceding the event giving rise to the claim (or USD 50 if you are on a free plan).

Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless AI-Guide, its officers, employees, and partners from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of:

• Your use of the Services,
• Your violation of these Terms,
• Your violation of any law or third-party rights.

13. Governing law and disputes

Unless otherwise required by law, these Terms are governed by the laws of the State of Israel, excluding its conflict of law rules. Any disputes will be resolved exclusively in the competent courts located in Tel Aviv-Jaffa, Israel.

14. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will:

• Update the "Last updated" date at the top, and
• Where appropriate, notify you in the App or by email.

Your continued use of the Services after changes become effective means you accept the updated Terms.
